I think the main difference between a discrete quad/surround mix and a 5.1 upmix is that the upmixing tends to play around with phase a good deal and ends up with occasionally unnatural sounds/placement as a result.    With a good decode or a discrete mix, the phase artifacts from the encoding are largely absent.  No big deal, it's all in the ear of the beholder.  It's all music and everyone has their own tastes.

A few messages earlier I explained that my upmix routine (S2S) doesn't play with phase at all ! It has gone through some professional testing with an oscilloscope to get rid of any phase issues. 
Despite that, I agree placement is sometimes unnatural, just like all discrete retail mixes. The sound however is crystal clear and for sure not unnatural. No artefacts or distortions.
I do give you a +1 for your last two remarks ! ;-)
